First of all go to start, run and type msconfig then ok. Go to advanced and untick the disable fast shutdown if it has a tick by it. You should also ensure you're power management is configured correctly. You can check this in the control panel.
If you have video card problems this can prevent shutdown and especially if they're not compatible with WinME. Go to start, run and type msconfig, click advanced and select VGA 640 x 16 and click ok. If your PC shuts down, then update your video card drivers.
Also ensure you have the most recent windows updates, which may/may not include any shutdown patches, which is quite normal with new software.

Enable irq for vga in the bios might work.
That is one of the fixes from microsoft.
